Guinée
Assisting an international downstream petroleum company with its project relating to (i) the design, financing, construction, operation and maintenance of permanent diesel fuel supply, storage and dispensing facilities at designated port terminal facilities and mine facilities sites in Guinea; and (ii) the supply of diesel for associated mining operations. Responsible for the review, mark-up and negotiation of definitive agreements, comprising inter alia, the (i) BOOT agreement incorporating the diesel supply terms; (ii) the direct agreement relating the provision of finance and to give certain confirmations, agreements and assurances in connection with the project; and (iii) amendments to the bid exceptions document and scope of work.
Ghana
Assisting PetroSA with the evaluation and acquisition of the entire shareholding in Sabre Oil & Gas Holdings Ltd, being the holder of participating interest in the Tano Deep, Deep Water Tano and the West Cape Three Points Petroleum Agreements (collectively, “Jubilee Field”). Responsible for the legal and country due diligence, providing legal advice to the project team and PetroSA Exco; reviewing and negotiating the share sale agreement, joint operating and other commercial agreements between the joint venture partners, advising on related disputes and reviewing reserve based lending and escrow agreements.
Equatorial Guinea
- Advising PetroSA on its divestment of its interests in Block Q, Equatorial Guinea.
Responsible for negotiating final terms of the PSC, JOA and related agreements, upstream work commitments, farm-out agreements, work programme extensions and drilling services agreement. - Advising an independent oil and gas company on its investment into the Bioko Oil Terminal. Responsible for negotiating definitive agreements for the equity acquisition and advising on the transactional structuring.
Gabon
- Advising PetroSA on the acquisition of the Iris, Themis and Gryphon Blocks in Gabon. Responsible for negotiating final terms of PSCs, JOA and related agreements and on the sale and negotiating final terms of the sales and purchase agreements.
- Advising an independent oil company on its acquisition of oil and gas assets in Gabon. Responsible for conducting the legal due diligence, reviewing, drafting and negotiating associated agreements and providing transactional advice.
Namibia
- Advising the National oil company of Namibia (NAMCOR) on the Kudu Gas Project. Responsible for revising and negotiating farm–in and joint operating agreements with its joint venture partner, advising on requisite regulatory approval for the transfer of participating interest and operatorship, reviewing and negotiating ancillary agreements including service agreements with the joint venture partner, amendments to the Kudu Project development agreement, gas sale agreement with NamPower, advising on disputes with certain service providers and advising on proposed funding arrangements.
- Advising the sponsor of a LNG project using a FSRU to supply feedstock for a 250MW gas fired power plant in Walvis Bay. Responsible for compiling a regulatory framework with local attorneys for the project, drafting/reviewing and negotiating time charters, LNG sale and purchase agreement, FSRU tolling agreement, gas sale agreement and power purchase agreement.
- Advising NAMCOR on franchising arrangements as part of the roll out of its service station across Namibia. Responsible for negotiating group buying scheme agreements, and advising on commercial terms and deal structure.
Egypt
Assisting SacOil Holdings Ltd with its acquisition of equity in Mena International Petroleum Company Ltd from a wholly-owned subsidiary of a TSX Venture listed entity which held participating interest in oil and gas fields in Egypt.
Responsible for drafting and negotiating the term sheet for the acquisition, conducting the legal due diligence, drafting and negotiating the share purchase agreement and assisting with the completion of the transaction.
Nigeria
- Assisting an independent oil and gas company in securing a Nigerian light crude allocation from the NNPC. Responsible for advising on the NNPC agreement, and drafting and negotiating the back-to-back sale agreement of the allocation with an international trading company.
- Advising an independent oil and gas company in relation to their Nigerian oil and gas participating interests. Responsible for the regulation and title verification of the assets, advising on and litigating related disputes before the High Court of Lagos State, Nigeria.
- Conducting a risk analysis for a commercial bank. Part of a team responsible for conducting a commercial and legal risk analysis of the bank’s reserve-based lending portfolio and the underlying oil and gas licence agreements in respect of Nigerian assets.
- Assisting PetroSA with the divestment of entities holding an oil mining lease. Responsible for drafting and negotiating the share sale agreements, liaising with and securing requisite approvals from regulatory authorities.
Tanzania
Conducting the legal due diligence on behalf of an independent oil and gas company for its proposed acquisition of legal or equitable interest in and to the production sharing agreements relating to the Tanga and Latham/Kimbiji blocks, Tanzania.
Malawi
Conducting training sessions for the National Oil Company of Malawi Limited (NOCMA) employees regarding energy security of supply, framework challenges, overview of host country agreements, role of the national oil company, impact of oil price, economic factors influencing E&P activities and incentives.
Mozambique
Assisting a trader of refined product in defending disputes with suppliers, off-takers and commercial banks holding letters of credit. Responsible for reviewing supply agreements, main off-take agreement and compiling counterclaims and defenses to various claims for demurrage; and motivating for and obtaining the non-release of letters of credit from the holding commercial banks.
Zimbabwe
Assisting the seller of a graphite mine with its equity divestment.
Responsible for negotiating the share sale agreement with the purchaser and liaising with Zimbabwean local counsel to obtain requisite regulatory approvals.
Assisting an international downstream oil and gas company with redrafting and restructuring its Pan-African downstream business-to-business contracts.
Responsible for the drafting of the following agreements:
- sale of liquid petroleum products,
- equipment loaned to trade,
- sale of lubricants,
- sale of liquefied petroleum gas; and
- reseller agreements, to be used in Botswana, Burkina Faso, Cape Verde, Ghana, Guinea, Ivory Coast, Kenya, Madagascar, Mali, Mauritius, Morocco, Namibia, Senegal, Tunisia and Uganda
