Advising across the full oil and gas value chain, including upstream acquisitions, asset restructurings and various procurement matters. This includes the drafting and negotiating of the full suite of agreements, including international granting instruments, seismic agreements, drilling and service agreements, farm-ins, farm-outs and joint operating agreements (JOA), EPC and EPCM contracts, project and multi-lateral financing, off-take arrangements, assisting with securing regulatory approvals.

Saldhana Bay, Western Cape | Richards Bay, KwaZulu-Natal | Coega, Eastern Cape

Assisting a listed international integrated energy and chemicals company to develop a regulatory framework governing the construction, development and operation of a large scale LNG to power project to be developed within a special economic zone at Saldhana Bay (Western Cape), Richards Bay (KwaZulu-Natal) and Coega (Eastern Cape). Part of a team responsible for compiling a summary of the requisite regulatory licences/permits and authorisations for the implementation of the project including the utilisation of gas and generation of power and environmental authorisations, land and sea use requirement and public procurement criteria applicable to (i) LNG importation; (ii) re-gasification; (iii) gas pipelines and (iv) power generation and advice on applications in terms of Sections 56 and 79 of the National Ports
Act.

Assisting various clients in the telecommunication, logistics, oil and gas and chemical industries with the conduct of due diligence exercises for potential asset and equity M&A transactions. Part of a team responsible for reviewing commercial contracts, annual financial statements, initial public offering documents and communications with regulatory bodies, identifying risks and consequent impact on the proposed transaction, and proposing risk mitigation measures.

Harrismith, Free State

Assisting a South African licenced wholesaler of the petroleum products with the development of a truck stop. Responsible for drafting and negotiating agreements for the provision of (i) limited funding for the construction and development of a branded forecourt at a truck stop from which petroleum products are sold and dispensed; (ii) the supply and installation of forecourt equipment; (iii) the supply and installation of storage facility equipment at a storage facility; and (iv) various securitisation agreements including notarial deeds of servitudes.

Mossel Bay, Western Cape

  • Assisting the national oil company of South Africa (PetroSA) with the commercialisation of its refined liquid products. Responsible for drafting, reviewing and negotiating sale agreements to off-takers including Engen, Chevron, BP, Sasol, Shell and TotalSA.
  • Assisting PetroSA with its LNG importation project to supplement declining domestic gas as feedstock to its Mossel Bay refinery. Part of a team responsible for compiling a regulatory framework for the project, drafting, reviewing and negotiating time charters, LNG sale and purchase agreement and FSRU charter-party.

Saldanda Bay, Western Cape

Participating in a feasibility study (partially funded by the U.S. Trade and Development Agency) to assess the viability of the Western Cape LNG Import and Gas-to-Power Project. The study considered the importation of LNG at the Port of Saldanha Bay and the development of gas storage, transmission and distribution infrastructure along the West Coast corridor of the Western Cape using imported LNG for electricity generation as well as for industrial, transportation and domestic purposes. Part of a team responsible for drafting heads of agreements in respect of: (i) LNG sales agreement; (ii) industrial use gas sale agreements; (iii) FSRU time charter; (iv) anchor gas sale agreement; (v) additional power gas sale agreement; (vi) master gas transport agreement.

Assisting an independent downstream oil and gas company with its acquisition of 230 Engen-branded service stations in Malawi, Mozambique, Reunion, Rwanda, Tanzania, Zambia and Zimbabwe.
